Template Design License Agreement
License Terms for Digital Template Designs
Effective Date: 10/14/2025
Licensor: LITPDF.COM
Licensee: Customer Name on Record
1. Grant of License
Subject to the terms and conditions of this License Agreement, Licensor hereby grants to Licensee a non-exclusive, non-transferable license to use the purchased template design(s) ("Template") for Licensee's own personal or business use only.
2. Permitted Uses
Licensee may:
- Use the Template for their own website, application, or project
- Modify the Template to suit their specific needs
- Deploy the Template on their own domains or platforms
- Create derivative works based on the Template for their own use
3. Prohibited Uses
Licensee is expressly prohibited from:
- Reselling, redistributing, or transferring the Template to any third party
- Licensing, sublicensing, or granting rights to the Template to others
- Including the Template in any product or service offered for sale
- Sharing the Template files with clients, contractors, or other parties
- Using the Template as a basis for creating competing products
- Reverse engineering the Template for commercial purposes
4. Commercial Resale Rights
If Licensee wishes to resell, redistribute, or commercially exploit the Template in any way, they must:
- Contact Licensor at inquire@litpdf.com to discuss commercial licensing terms
- Obtain written permission and a separate commercial license agreement
- Pay applicable resale fees as determined by Licensor
- Agree to additional terms and conditions for commercial use
5. Intellectual Property Rights
- All rights, title, and interest in the Template remain with Licensor
- This license does not transfer ownership of the Template
- Licensee acknowledges that the Template is proprietary and confidential
- Any modifications made by Licensee do not grant ownership rights to the original Template
6. License Restrictions
- This license is personal to Licensee and cannot be transferred
- Licensee may not assign or sublicense their rights under this agreement
- The license is limited to the specific Template(s) purchased
- Use of the Template is limited to the number of projects specified in the purchase
7. Termination
This license terminates automatically if Licensee:
- Violates any terms of this agreement
- Attempts to resell or redistribute the Template without permission
- Uses the Template in a manner inconsistent with this agreement
Upon termination, Licensee must:
- Cease all use of the Template
- Delete all copies of the Template from their systems
- Return or destroy any physical copies
8. Enforcement and Remedies
- Licensor reserves the right to monitor compliance with this agreement
- Violation of this agreement may result in legal action
- Licensee agrees to pay all costs and attorney fees incurred in enforcing this agreement
- Licensor may seek injunctive relief to prevent unauthorized use
9. Disclaimer of Warranties
THE TEMPLATE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10. Limitation of Liability
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE USE OF THE TEMPLATE.
11. Governing Law
This agreement shall be governed by and construed in accordance with the laws of FLORIDA, USA, without regard to conflict of law principles.

Acceptance
